Choosing the Right Business Structure
Sole proprietor, LLC, S-corp — the structure you choose changes your taxes, liability, and paperwork. Here is the difference in plain English.
Choosing the Right Business Structure
Your business structure affects your personal liability, how much you pay in taxes, and how much paperwork you file. Here is a plain-English comparison of the most common structures.
Sole proprietorship
The simplest structure. You and the business are the same legal entity.
- Liability: No protection — your personal assets are at risk.
- Taxes: Income passes through to your personal return (Schedule C).
- Best for: Freelancers, side businesses, and solo operators just starting out.
LLC (Limited Liability Company)
A separate legal entity that protects your personal assets from business debts.
- Liability: Strong protection for personal assets.
- Taxes: Flexible — default is pass-through, but you can elect to be taxed as an S-corp or C-corp.
- Best for: Most small business owners who want protection without heavy complexity.
S-corporation
A tax election (not a separate entity type) available to LLCs and C-corporations.
- Liability: Same as the underlying entity.
- Taxes: Pass-through, but lets you split income between a reasonable salary and distributions — often reducing self-employment tax.
- Best for: Profitable businesses where the owner can take a reasonable salary and benefit from the distribution split.
C-corporation
A fully separate taxable entity.
- Liability: Strongest protection.
- Taxes: The corporation pays tax on profits; shareholders pay again on dividends (the "double taxation").
- Best for: Businesses planning to raise outside investment, issue stock, or eventually go public.
How to choose
The right answer depends on your revenue, risk, growth plans, and how you want to pay yourself. The wrong structure can cost thousands in extra tax — or leave your personal assets exposed.
